TERMS OF SERVICE & REFUND POLICY

These terms apply to all purchases made through PRIAM.VIP, PRIAM.TV, DBREEON.COM, DBREEON.VIP and the D'BREEON Payhip store. By completing a purchase you agree to them.
1. What you are buying
We sell digital goods and professional services, not physical merchandise. Purchases fall into four categories, and the refund rules differ by category:
A. Digital files (recordings, ringtones, instrumental and DJ packs, albums): final sale on delivery.
B. Fixed-price engagements (e.g. Technical Screen, SI Countermeasure Review, Identity Gap Analysis, Mastering, Release My Single, Signature Launch, VIP Private Production): refundable only before work begins.
C. Deposits on scoped work (e.g. Live Saxophone Solo, PR Release, PSA Release, Custom Client PR, Radio Campaign, Press Campaign, Discovery & SOW): non-refundable once scoping begins.
D. Subscriptions and retainers: cancel anytime; no partial-period refunds.
2. Delivery
Digital files are delivered by download link or authenticated access immediately on payment, or within two business days where a file is prepared for you. Services begin on the schedule confirmed in writing after purchase. Delivery is complete when the file is made available to you, not when you open it.
3. Final sale on delivery (Category A)
Digital files cannot be returned. All sales of digital files are final once delivery has occurred. By completing checkout you expressly request immediate delivery and acknowledge that your right to cancel ends once delivery begins. Where local law grants a statutory cancellation right for digital content, you waive it to the extent permitted by that law.
4. Fixed-price engagements (Category B)
Before work begins: full refund on written request. After work begins: no refund. "Work begins" means the first scheduled session, interview, scan, review, draft or production step, whichever comes first. If we cannot deliver the engagement, you receive a full refund.
5. Deposits on scoped work (Category C)
Deposits reserve capacity and pay for the scoping work itself. A deposit is non-refundable once scoping begins; scoping includes intake calls, requirement gathering, media-list building, research and preparation of a statement of work. If you cancel before scoping begins, the deposit is refunded in full. If you cancel after a statement of work is issued but before delivery, the deposit is retained and any balance already paid is refunded. The balance is invoiced after scoping and is due before delivery.
6. Subscriptions and retainers (Category D)
Cancel at any time; cancellation stops the next renewal. No partial-month or partial-period refunds; you keep access through the end of the period you paid for. The Press & Publicity Retainer carries a two-month minimum commitment, disclosed at purchase. Work product already delivered during a paid period is governed by Section 9.
7. The 7-day exception window
Regardless of category, you may request a remedy within 7 calendar days of purchase if: (1) you never received the file or access; (2) the file is corrupt, incomplete or unplayable; (3) you were billed twice for the same item; or (4) you did not authorize the transaction. The first remedy is repair or re-delivery. If we cannot make it good within 5 business days, a full refund is issued. Requests after 7 days are at our discretion. A change of plans, budget or mind is not a defect and is not grounds for a refund.
8. Watermarking and forensic identification
Every deliverable we issue carries a forensic watermark or identifying mark tied to the purchasing account. A refund of delivered work is conditioned on all of the following: (1) you permanently delete every copy of the deliverable in your possession or control, including copies held by your contractors, agents and platforms you uploaded to; (2) you certify that deletion in writing by email; and (3) your license to the work terminates on the date the refund is issued. If a watermarked deliverable is found in public or commercial use after a refund, the license is void, the refund is recoverable as a debt, and we reserve every remedy available under the Copyright Act and California law. Removing, altering or obscuring a watermark is a separate violation under 17 U.S.C. § 1202.
9. What you own
On full payment and delivery, you receive the rights stated in your engagement agreement or product description. Where no separate agreement exists, you receive a non-exclusive, non-transferable license to use the deliverable for the purpose it was commissioned. Masters, source files, stems, project files and underlying methodology remain our property unless a signed agreement transfers them. Refunded work carries no license. For VIP Private Production, Section 15.3 controls.
10. How to request a refund
Email iam@priam.vip with your order number and checkout email, the date of purchase, the category and the Section 7 condition you are claiming, and for a defect a description plus a screenshot or recording. We acknowledge within 2 business days and resolve within 5 business days. Approved refunds return to the original payment method; card refunds typically post in 5–10 business days. Payment processing fees are not refundable to us by the processor and are not part of a partial refund.
11. Chargebacks
If you file a chargeback without first contacting us, our response will include the checkout record, timestamps, the delivery log and the watermark tied to your account. Accounts with an unresolved chargeback are suspended until the matter is closed. This does not limit your right to dispute a genuinely unauthorized charge.
12. Taxes
Prices are in U.S. dollars. Sales tax is calculated at checkout where applicable.
13. Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Venue for any dispute is Ventura County, California. If any provision is held unenforceable, the remainder stays in force.
14. Changes
We may update these terms. The version in effect at the time of your purchase governs that purchase.
15. VIP PRIVATE PRODUCTION (D'BREEON)
15.1 What you're buying. A song written and produced for you, the performer. D'BREEON writes the song and produces, records, mixes and masters the music; you supply your vocal performance. Price: $7,000 per song, or $70,000 for 12 songs.
15.2 Your vocals. After checkout, upload your vocals at dbreeon.vip/upload-your-vocals. If you only have a full track, vocal separation is $250 per song and is non-refundable once processing begins. If no usable vocals are received within 6 months of purchase, the order expires without refund.
15.3 Who owns what. Bryant Michael Davis is the songwriter and owns the music, the lyrics, the master recording, and all stems, sessions and project files. You own the rights to your own performance on the recording, up to 100% of the performer income it earns. Direction you give about the song (its subject, mood or style) does not make you a co-writer. Any songwriter credit or lyric share for you is at Bryant Michael Davis's discretion, is no more than 25% of the lyrics, and exists only if set in a split sheet both parties sign before release; any larger share requires a separate, signed agreement. Once the song is completed, you may license the master under a written license that states its scope and terms. Ownership of the master is available only by a separate, signed agreement. This purchase does not transfer the music, the lyrics, the master, or any of Bryant Michael Davis's royalties to you.
15.4 Your royalties. Bryant Michael Davis will help you register with SoundExchange to collect as the featured performer, and with the MLC for any lyric share set in a signed split sheet.
15.5 Name and likeness. You authorize use of your name, likeness and performance to release and promote the song.
15.6 Delivery and revisions. Target delivery is 30 days after usable vocals arrive; this is a target, not a guarantee. Two rounds of revisions are included per song; additional revisions are quoted separately.
15.7 Refunds. Full refund on request before production begins; none after. Section 8 applies to any delivered work.
15.8 Your promises. You own or control the vocals you upload, and they do not infringe anyone's rights. You will cover any claim, cost or damages arising if that is not true.
15.9 Tools. Production is human-led, with SI (Super Intelligence) assist used at D'BREEON's discretion.
15.10 No guarantees; liability cap. We do not guarantee streams, sales, charting or placements. Our liability is limited to the amount you paid for the song.
